Agreement to these terms
These Terms of Service govern your access to and use of the Quoterra website, communications, demo experiences, and related services we make available.
These terms are intended as a standard United States terms placeholder. Company-specific contracting terms, subscription terms, and customer agreements may be added or substituted later.
Use of the services
You may use the services only for lawful business purposes and in accordance with these terms. You are responsible for ensuring that your use complies with applicable laws, rules, and regulations.
You may not misuse the services, interfere with their operation, attempt unauthorized access, upload malicious code, scrape content without permission, or use the services to infringe the rights of others.
Accounts and information
If account access is provided, you are responsible for maintaining the confidentiality of your credentials and for activity under your account.
You agree that information you submit to us will be accurate, current, and complete, and that you have the right to provide it.
Customer content
You retain ownership of documents, data, files, and other content you submit to the services. You grant Quoterra the limited rights needed to host, process, transmit, display, and use that content to provide and improve the services.
You are responsible for your content and for obtaining any permissions required to upload or share it with us.
Intellectual property
Quoterra and its licensors retain all rights, title, and interest in the website, services, software, designs, text, graphics, logos, and other materials we provide, except for rights expressly granted to you.
You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from the services except as permitted by law or by a written agreement with us.
Third-party services
The services may include links to third-party websites or integrate with third-party tools. Quoterra is not responsible for third-party content, policies, availability, or practices.
Your use of third-party services may be governed by separate terms and privacy policies from those providers.
Disclaimers
The website and any pre-release, demo, or informational services are provided on an as-is and as-available basis. To the fullest extent permitted by law, Quoterra disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.
Any estimating, document review, measurement, or bid-related outputs should be reviewed by qualified personnel before they are relied upon for business, legal, financial, or submission decisions.
Limitation of liability
To the fullest extent permitted by law, Quoterra will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, or business opportunities.
Where liability cannot be excluded, Quoterra's total liability will be limited to the amount paid to Quoterra for the services giving rise to the claim during the twelve months before the claim, or one hundred U.S. dollars if no paid services apply.
Changes and termination
We may update the services or these terms from time to time. The effective date above reflects the latest version. Continued use after an update means you accept the revised terms.
We may suspend or terminate access if we believe you violated these terms, created risk, or used the services unlawfully.
Governing law
Unless a written agreement states otherwise, these terms are governed by the laws of the United States and the laws of the state where Quoterra is organized, without regard to conflict of law principles.
